Service Agreement

- By using our services, you agree to be bound by these terms
- Services are provided subject to availability and capacity
- We reserve the right to modify or discontinue services with notice
Client Responsibilities
- Provide accurate and complete information for billing services
- Maintain compliance with all applicable healthcare regulations
- Ensure timely payment of fees as agreed in service contracts
- Notify us promptly of any changes affecting service delivery
Limitation of Liability
- Our liability is limited to the fees paid for services in the preceding 12 months
- We are not liable for indirect, incidental, or consequential damages
- Force majeure events excuse performance delays or failures
- Client indemnifies us against claims arising from their data or practices
Termination
- Either party may terminate with 30 days written notice
- Immediate termination allowed for material breach or non-payment
- Upon termination, we will return client data in agreed format
- Surviving provisions include confidentiality and limitation of liability
Intellectual Property
All content, software, and materials provided by Med Billings are protected by intellectual property laws. Clients receive a limited license to use our services but do not acquire ownership rights.
Clients retain ownership of their data and grant us necessary rights to provide services.
Confidentiality
We maintain strict confidentiality of all client information and protected health information (PHI) in accordance with HIPAA and other applicable regulations.
Both parties agree to protect confidential information and use it solely for the purposes of providing or receiving services.
Dispute Resolution
Any disputes arising from these terms or our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
The arbitration will be conducted in the state where our principal office is located, and the prevailing party may recover reasonable attorney fees.
Governing Law
These terms are governed by the laws of the state where Med Billings is incorporated, without regard to conflict of law principles. Any legal action must be brought in the courts of that jurisdiction.

Changes to Terms
